You must be at least 18 years of age and able to form a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

Doolin Design Studio provides design and marketing services and an online platform through which clients may, among other things, receive and review contracts, complete electronic signatures, receive invoices, make payments, and schedule appointments. We may modify, suspend, or discontinue any part of the Service at any time.

To access certain features, you must create an account. You agree to provide accurate and complete information and to keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service or related systems.
• Upload or transmit malicious code or content that infringes the rights of others.
• Use the Service to send unsolicited or unauthorized messages.

We may suspend or terminate access for any violation of these Terms.

The Service may allow you to receive and electronically sign contracts and to receive and pay invoices. You agree that electronic signatures, contracts, and records are legally valid and enforceable to the fullest extent permitted by applicable law, including the federal E-SIGN Act.

Payments are processed through third-party payment processors. You agree to provide accurate billing information and authorize the applicable charges. Fees are due according to the terms stated on the relevant invoice or agreement. Except as required by law or expressly stated otherwise, payments are non-refundable.

By opting in, you agree to the following terms for the Doolin Design Studio text messaging program.

Program description

The program sends account-related and transactional notifications to users who have opted in, which may include new contract and document-ready alerts, e-signature requests and confirmations, invoice and payment links, payment reminders and confirmations, and project and account status updates.

Opt-in and consent

You opt in by entering your mobile phone number and actively selecting a consent checkbox — which is not pre-selected — during account setup or in your account notification settings. Consent is not a condition of purchasing any goods or services. You represent that you are the account holder or authorized user of the mobile number provided.

Message frequency

Message frequency varies based on your account activity and the notification categories you have enabled.

Cost

Doolin Design Studio does not charge for these messages, but message and data rates may apply depending on your mobile carrier and plan, and are your responsibility. We are not liable for charges, delays, or failures in delivery caused by your carrier or device.

Opt-out

You may cancel at any time by replying STOP to any message. We will send a confirmation message, and you will no longer receive SMS messages from that program. You may also enable or disable individual notification categories at any time in your account settings.

Carriers

Carriers are not liable for delayed or undelivered messages. Carrier availability is not guaranteed and may change.

Privacy

Your mobile information is handled in accordance with our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.

The Service, including its software, design, text, graphics, logos, and other content (excluding content you provide), is owned by or licensed to Doolin Design Studio and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent.

Deliverables created for clients are governed by the applicable project agreement or statement of work between you and Doolin Design Studio.

You retain ownership of content you submit to the Service. You grant Doolin Design Studio a license to use, host, store, and process that content solely as necessary to provide the Service. You represent that you have the rights to the content you submit and that it does not violate any law or the rights of any third party.

The Service may integrate with or link to third-party services. We are not responsible for the content, policies, or practices of third parties, and your use of those services is governed by their terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free.

TO THE FULLEST EXTENT PERMITTED BY LAW, DOOLIN DESIGN STUDIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify and hold harmless Doolin Design Studio and its owners, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these Terms.

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Kentucky.

We may modify these Terms at any time. When we do, we will revise the "Effective Date" above. Material changes will be communicated through the Service or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
